1. Introduction

Welcome to Nsign.tv ("Nsign.tv"), a cloud-based Software as a Service (SaaS) platform provided by NETIPBOX TECHNOLOGIES, S.L. (the "Company", "we", "us", "our" or "us").

These Terms and Conditions of Use (the "Terms") govern your access to and use of our Digital Signage platform (the "Platform").

By accessing or using the Platform, you (the "User") agree to comply with and be bound by these Terms. If you do not agree, you must not use the Platform.

2. Definitions

  • Account: Your personal or corporate profile to access the Platform.
  • Acceptable Use Policy: Rules defining permitted and prohibited uses of the Platform.
  • Confidential Information: Non-public information shared between you and Nsign.tv.
  • Content: Any digital material (images, videos, text, etc.) uploaded or managed on the Platform.
  • Controller: You, who determines the purposes and means of the processing of personal data.
  • Processor: Nsign.tv, which processes data on your instructions.
  • Export Compliance: Obligation to comply with international export laws and embargoes.
  • Force Majeure: Unforeseeable events beyond our control.
  • Offline Playback: Playback of locally stored Content on devices without an internet connection.
  • Opportunity Registration: Management of business opportunities between Partners to avoid conflicts.
  • Partner: Authorised integrator that collaborates with Nsign.tv.
  • Platform: Nsign.tv SaaS software together with Media Player devices.
  • Services: All Platform functionalities, support, updates and maintenance.
  • SLA (Service Level Agreement): Defines service levels and response times according to the Subscription plan.
  • Subscription: Paid access to the Platform.
  • Subscription Agreement: Contract governing your Subscription.
  • Support Services: Assistance provided according to the Subscription and the contracting channel.
  • Third Party Systems/Services: External services integrated via APIs; Nsign.tv is not responsible for their availability or legality.
  • Third Party Hardware: Devices such as players, NUCs, screens, tablets, etc.
  • 2FA (Two-Factor Authentication): Two-step verification for account security.
  • User: Any person or entity accessing or using the Platform.

3. Description of services

The Platform allows Users to centrally manage, schedule and display digital Content across networks of screens and devices.

  • Content Management System: Uploading, scheduling and organising multimedia content.
  • Design tools: Templates, playlists and drag-and-drop visual editor.
  • Media Player Software: Plays content on devices, SOCs and players.
  • Device management: Provisioning, monitoring and remote control.
  • Integrations: Connection with third-party systems via APIs.
  • User and access management: Role-based permissions and specific permissions.
  • Offline playback: Local cache for uninterrupted playback.
  • Analytics and reporting: Statistics, audit trails and playback tests.
  • Maintenance and support: Updates, bug fixes and technical assistance.


Note: The Platform is not designed for life-critical systems. Nsign.tv may modify functionalities and solutions of the Platform; prior notice will be given when possible.

4. User registration and account security

4.1 Account Registration: Provide accurate information and update it when necessary.

4.2 Account Responsibility: Keep your credentials secure; you are responsible for the activity.

4.3 Security Obligations: Activate 2FA, report incidents and comply with the law and these Terms.

4.4 Liability for Misuse: Nsign.tv is not liable for losses due to account mismanagement.

4.5 Suspension for Fraud or Misuse: Accounts may be suspended or disabled.

4.6 Credentials and Security: The User agrees to the receipt of credentials and their secure use, including the activation of 2FA when required and/or the renewal of the password at least every six (6) months.

4. How long do we keep your data?

  • NSIGN platform data: deleted immediately upon termination of your subscription.
  • Invoicing, contractual or administrative data: will be kept blocked after the end of the relationship, only for the legally required periods (e.g. 6 years for accounting and tax documentation).
  • Data processed on the basis of consent (e.g. commercial communications): will be kept as long as you do not withdraw your consent and, in any case, for a maximum of 3 years after the last interaction.
  • Once these periods have expired, the data will be securely deleted.

5. Acceptable Use Policy

5.1 Prohibited Activities:
  • Illegal, fraudulent or harmful acts.
  • Uploading offensive or infringing content.
  • Hacking, phishing or malware.
  • Interfering with the Platform or servers.
  • Sending spam or unauthorised marketing.
  • Reverse engineer the Platform.

5.2 Monitoring and Enforcement: Nsign.tv may monitor and enforce compliance.
5.3 User Responsibility: You are responsible for your Content.
5.4 Consequences: Removal of content, suspension or legal action.

6. Intellectual property rights

6.1 Ownership: Nsign.tv owns the Media Player Platform and software; Subscription grants limited access.

6.2 User Content: You retain ownership of your Content.

6.3 Operational Use: Nsign.tv may process the Content to provide the Service.

6.4 Responsibility for Third Party Content: You must secure the rights of use.

6.5 Third Party Integrations and Devices: Nsign.tv is not responsible for third party services or devices.

7. Data protection and privacy

7.1 Compliance: GDPR and CCPA.

7.2 Roles: Users as Controllers; Nsign.tv as Processor.

7.3 Security: Encryption, access control and periodic evaluations.

7.4 Data Retention: Deletion after termination of subscription in accordance with internal retention policies and applicable regulations.

7.5 Breach Notification: Prompt communication to the User.

7.6 Data Processing: The processing of personal data shall be additionally governed by the relevant Data Processor Agreement (DPA), where applicable.

7.7 Privacy Policy: The processing of personal data is additionally regulated in the Privacy Policy available on the Platform.

7.8 Cookies: The use of cookies is regulated in the Cookie Policy available on the Platform.

8. Service availability, maintenance and support

8.1 Availability: 99.9% target; outages may occur.
8.2 Maintenance: Scheduled or emergency.

8.3 Support: According to plan and contracting channel.

8.4 Incident Reporting: Through official channels.

9. Confidentiality

Non-public information should be kept confidential even after the end of the contract.

10. Limitation of liability

10.1 No Indirect Damage: No liability for indirect damage.

10.2 Limit of Liability: Maximum equivalent to 12 months' instalments or €100 if no payments are made.

10.3 Exclusions: Does not apply in case of proven fraud or fraud, except in cases where applicable law provides otherwise.

10.4 Allocation of Risks: Reasonable and essential limitations.

11. Termination and suspension

11.1 By the User: 15 days notice; no refund.

11.2 By the Company: Breach of the agreed commercial agreement, non-payment, misuse or prolonged inactivity.

11.3 Suspension: Restricted access; local reproduction continues with no updates.

11.4 Reactivation: Payment of outstanding amounts.

11.5 Removal of Content: Data may be removed in accordance with internal retention policies and applicable regulations.

11.6 Effective Clauses: Confidentiality, intellectual property, liability and outstanding payments.

12. Indemnification

The User indemnifies Nsign.tv against any breach of law, contract or infringement of rights.

13. Amendments to the terms

Nsign.tv may update the Terms; continued use implies acceptance.

14. Force majeure

No liability for out-of-control events (disasters, war, cyber-attacks).

15. Export compliance

The User must comply with applicable export laws.

16. Applicable law and jurisdiction

Spanish law applies. Exclusive jurisdiction in the courts of Barcelona.

17. Register of opportunities

Nsign.tv can manage or reallocate commercial opportunities between Partners.
